Terms of Service

1. Acceptance of Terms

By creating an account or using RoofX, you agree to these Terms of Service. If you do not agree, do not use the platform. These terms apply to all users, including contractors, their team members, and any homeowner who receives and signs a proposal through RoofX.

2. Description of Service

RoofX is a business management platform for roofing contractors that provides:

• Roof measurement estimation using satellite imagery and AI analysis
• Proposal creation, delivery, and digital signature collection
• Client relationship management (CRM)
• Job tracking, work orders, invoicing, and payment collection
• Material ordering and supplier integrations

3. Accounts and Eligibility

You must be at least 18 years old and legally authorized to conduct business in the United States to use RoofX. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Each account is limited to one active session at a time. Sharing login credentials with others is prohibited.

4. Subscriptions and Billing

RoofX operates on a subscription basis (Starter, Pro, Scale). A 7-day free trial is available with a valid payment method on file. Subscriptions renew automatically at the end of each billing period.

• All fees are in US Dollars (USD)
• You may cancel at any time; access continues until the end of the billing period
• Refunds are not provided for partial months except where required by law
• Additional reports (Instant Report, Certified Report) are pay-per-use beyond plan quota

We reserve the right to modify pricing with 30 days notice.

5. Measurement Accuracy and Disclaimers

IMPORTANT: All measurements provided by RoofX are estimates. Quick Scan and Instant Report measurements are derived from aerial imagery and AI analysis and are provided for estimating purposes only.

• Quick Scan accuracy is approximately 85–90% for simple roofs; lower for complex geometry
• Instant Report accuracy is approximately 95% using high-resolution aerial imagery
• Certified Reports (EagleView) provide ~99.5% accuracy and are accepted by insurance carriers

AuraX Solution LLC is not responsible for errors, omissions, or inaccuracies in measurement data, or for any losses arising from reliance on such data. Contractors are solely responsible for verifying measurements and material quantities before procurement.

6. Electronic Signatures

Proposals signed through RoofX's digital signature feature are intended to be legally binding under the Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA). Signature records include the signer's IP address, timestamp, device information, and signature image.

Contractors are responsible for ensuring that the use of electronic signatures complies with applicable local, state, and federal law for their specific contracts and jurisdiction.

7. Payment Processing

Payment collection through RoofX is powered by Stripe. Stripe Connect allows contractors to receive payments directly into their bank accounts. AuraX Solution LLC does not hold or process contractor funds; payments flow directly from homeowners to contractors. Standard Stripe processing fees apply.

8. Google Integrations

When you connect Gmail or Google Calendar, you authorize RoofX to send emails and manage calendar events on your behalf. This authorization can be revoked at any time in Settings → Integrations or through your Google Account at myaccount.google.com/permissions.

9. Acceptable Use

You agree not to:

• Use RoofX for any unlawful purpose or in violation of any regulations
• Attempt to reverse-engineer, decompile, or circumvent security measures
• Upload false or misleading information about properties or clients
• Use the platform to send spam or unsolicited communications
• Share your account with unauthorized users

10. Intellectual Property

AuraX Solution LLC owns all rights to the RoofX platform, including software, design, and branding. You retain ownership of all content you create (proposals, client data, estimates). You grant AuraX Solution LLC a limited license to store and process your content to provide the service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AuraX Solution LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING FROM YOUR USE OF ROOFX.

Our total liability to you for any claim shall not exceed the amount you paid to AuraX Solution LLC in the 12 months preceding the claim.

12. Termination

You may cancel your account at any time. We may suspend or terminate accounts that violate these Terms. Upon termination, your access ends immediately; data is retained for 30 days and then deleted.

13. Governing Law

These Terms are governed by the laws of the State of Washington, USA, without regard to conflict of law principles. Any disputes shall be resolved in courts located in King County, Washington.

14. Changes to Terms

We may update these Terms. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
